Talent Release And Content License Agreement

This Talent Release and Content License Agreement (“Agreement”) is entered into by and between Thank Studios, including its affiliates, brands (including but not limited to Sanj Talks), successors, assigns, licensees, and distribution platforms (collectively, the “Producer”), and the participant (“Participant”).

This Agreement applies to any video, audio, written, photographic, recorded interview, livestream, appearance, contribution, or submission (collectively, the “Content”) created, recorded, or provided in connection with Producer’s media productions.


1. Irrevocable Grant of Rights

Participant hereby irrevocably grants to Producer the exclusive, perpetual, worldwide, transferable, sublicensable, royalty-free right and license to:

  • Record, photograph, film, livestream, or otherwise capture Participant’s name, likeness, image, voice, statements, performance, and biographical information.
  • Edit, modify, rearrange, summarize, excerpt, translate, subtitle, dub, adapt, or otherwise alter the Content in Producer’s sole discretion.
  • Use, reproduce, distribute, display, publish, broadcast, stream, promote, advertise, market, monetize, sublicense, sell, or otherwise exploit the Content, in whole or in part, in any media now known or later developed, including but not limited to digital platforms, social media, streaming services, podcasts, websites, print, newsletters, press releases, promotional materials, and derivative works.
  • Combine the Content with other materials, commentary, music, graphics, interviews, or media.

All rights granted are permanent, irrevocable, and not subject to rescission, termination, or revocation for any reason.


2. Sole Editorial Control

Producer shall have sole and absolute editorial control over all Content.

Participant acknowledges and agrees that:

  • Producer has exclusive authority to edit the Content in any manner.
  • Participant has no right to review, approve, preview, request edits, request context changes, or demand removal of any Content.
  • Producer is under no obligation to use the Content.
  • Producer may use excerpts independently from the full interview.

Participant expressly waives any claim arising from editing, cropping, contextual use, or modification of the Content.


3. No Compensation, No Remuneration, No Profit Participation

Participant acknowledges and agrees that:

  • Participation is entirely voluntary.
  • No compensation, remuneration, payment, royalty, residual, revenue share, profit participation, equity, licensing fee, appearance fee, or other monetary or non-monetary consideration shall be paid now or at any time in the future.
  • Producer has the unrestricted right to monetize the Content in any manner.
  • Participant shall have no claim to any revenue, advertising income, sponsorship income, subscription income, licensing income, resale income, or other profits generated from the Content at any time.
  • Participant expressly waives any present or future right to compensation arising from the Content’s use.

This waiver applies permanently and survives indefinitely.


4. Materials Provided by Participant

If Participant provides photographs, video clips, written materials, logos, graphics, or other materials (“Submitted Materials”), Participant:

  • Grants Producer a perpetual, worldwide, royalty-free, sublicensable license to use, edit, modify, publish, distribute, promote, and monetize such Submitted Materials.
  • Represents and warrants that Participant owns or controls all necessary rights to grant this license.
  • Agrees that Producer may edit or adapt Submitted Materials at its sole discretion.
  • Acknowledges that no compensation shall be paid for use of Submitted Materials at any time.

5. Ownership

All recordings, footage, transcripts, edits, derivative works, and final productions shall be the sole and exclusive property of Producer.

Producer shall own all copyrights and intellectual property rights in the Content.

Participant retains no ownership interest in the recorded Content.


6. Representations and Warranties

Participant represents and warrants that:

  • Participant is at least 18 years of age and legally competent to enter this Agreement.
  • Participant has full authority to grant the rights herein.
  • The Content and Submitted Materials do not infringe upon the rights of any third party.
  • Participation does not violate any employment agreement, confidentiality agreement, or other legal obligation.

Participant agrees to indemnify and hold harmless Producer from any claims arising from breach of these warranties.


7. Release of Claims

Participant releases and discharges Producer and its officers, directors, employees, agents, affiliates, successors, assigns, and distribution partners from any and all claims arising from:

  • Participation in the Content
  • Recording or distribution of the Content
  • Editing or contextual use
  • Monetization of the Content
  • Use of Submitted Materials

This includes, without limitation, claims for defamation, invasion of privacy, right of publicity, misappropriation, emotional distress, or financial claims related to profit or revenue.


8. No Obligation to Remove Content

Participant acknowledges that the rights granted are permanent and irrevocable. Producer is under no obligation to remove, alter, retract, or edit any Content at Participant’s request at any time.


9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA.

Any disputes shall be resolved exclusively in courts located in California.


10. Profile Information and Promotional Use

Participant agrees to provide their full name, profile photograph, and biographical information for publication in connection with the Content.

Participant grants Producer the perpetual, worldwide, royalty-free right to:

  • Publish Participant’s name, photograph, and biography on websites, social media, promotional materials, newsletters, and media platforms.
  • Edit, shorten, format, or adapt the biography for clarity, length, or style.
  • Use the profile photo in connection with the Content and related promotional materials.

Participant represents and warrants that:

  • The uploaded photograph is owned by Participant or that Participant has full rights to grant its use.
  • The biographical information is accurate and does not infringe upon any third-party rights.

Producer shall not be obligated to remove or modify the published profile information upon request.


11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

Any modification must be in writing and signed by Producer.
